Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Nobu Kaizen (“Company,” “we,” “us”), which operates XLEVATED and its related websites, apps, and services (the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy (together, the “Agreement”). If you do not agree, do not use the Service. Where a more specific plan- or feature-level term conflicts with these Terms, the specific term controls for that feature.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

XLEVATED does not currently operate an age-verification gate; by accepting these Terms you represent and warrant that you meet this age requirement. The Service is not directed to, and may not be used by, anyone under 18. If we learn a user is under 18, we may suspend or delete the account. You must also be capable of forming a binding contract, and you may not use the Service if you are barred under applicable law or if we previously suspended or terminated your access.

XLEVATED is a personal-growth and self-reflection companion: a private “cosmos” featuring guidance presented under the NobuAI brand (including the guide “Kronos,” the companion “Solis,” and the “Constellation” coaches), reflective readings and multi-tradition calculations, journaling and goal tools, and related features. One account is intended for one individual cosmos.

AI-generated content. Readings, chats, plans, spoken audio, summaries, images, and other outputs are generated or assisted by automated systems presented under the NobuAI brand. They are probabilistic and may be incomplete, inaccurate, biased, outdated, or unsuitable for your situation. They are informational and reflective only, are not professional advice, and are not statements of fact about you or your future. You alone decide how to interpret and act on any output. We do not guarantee any outcome, prediction, or the “accuracy” of any chart, reading, or coaching content.

No guarantee of availability. We may add, modify, suspend, or discontinue any feature at any time without liability, subject to mandatory law.

Where we think you are. So that the emergency and crisis information above names resources for the right country, the Service derives an approximate country from the IP address of your connection while you are signed in. It identifies a country, not your precise whereabouts, and it may be wrong — for example on a corporate network or a VPN. The Privacy Policy explains what is derived, what is stored, and what is not.

You are responsible for (a) the accuracy of the information you provide (including birth data and places you select); (b) keeping your credentials confidential; (c) all activity under your account; and (d) promptly notifying us of any unauthorized use. We may refuse registration, reclaim identifiers, or require verification. Sharing accounts or selling access is prohibited.

You agree not to, and not to permit anyone else to, use the Service to:

• Violate any law or the rights of others;
• Harass, threaten, defame, exploit, or harm any person, or upload unlawful, hateful, or infringing content;
• Seek or provide help to obtain, source, procure, manufacture, or traffic in any illegal drug or controlled substance, weapon, or other illegal good, or to plan or carry out any crime, act of violence, or exploitation of a minor;
• Attempt to gain unauthorized access, probe or scan the Service, or reverse engineer it, except to the limited extent mandatory law forbids that restriction;
• Scrape, harvest, or bulk-export content or user data outside the export tools we provide;
• Use the Service to build a competing product, to train a competing model, or for automated bulk generation unrelated to your personal use;
• Interfere with or disrupt the Service, impose an unreasonable load, or bypass rate limits, security controls, or plan gates;
• Misrepresent your affiliation with us or use our marks without written permission.
• Access the Service as a competitor, or for benchmarking or competitive analysis, without our prior written consent.

We operate content and safety controls and may investigate suspected violations and suspend or terminate access, with or without notice, and without refund where termination is for cause. Some safety and content features are governed by internal controls and may be limited, gated, or unavailable in a given release.

You retain ownership of the content you submit to your cosmos (“Your Content”), subject to these Terms. You grant Nobu Kaizen a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content, and to create derivative works of it, solely as needed to operate, secure, improve, and provide the Service to you (including generating NobuAI outputs and routing requests to the infrastructure and model providers we select). This license ends when Your Content is deleted from our systems, except for residual copies in routine backups that cycle out and for anonymized or aggregated data that no longer identifies you.

You represent that you have all rights needed to submit Your Content and that it does not violate law or third-party rights. We do not use the content of your sittings to train third-party foundation models. Feedback you send us may be used without obligation or compensation.

You assign to us all rights in any feedback, ideas, or suggestions you send us, to the maximum extent permitted by law.

The Service — including its software, design, text, the XLEVATED and NobuAI names and marks, and all related branding — is owned by Nobu Kaizen or its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, distribute, sell, or create derivative works of our intellectual property. All rights not expressly granted are reserved.

Plans. XLEVATED offers a laddered set of plans, currently:

During the launch window every subscription is charged the founding price; founding members keep their founding price for as long as their subscription remains active. Annual billing, where offered, is priced at ten times the monthly price (two months free).

Plan names, prices, features, and availability may change; the current catalog and any regional pricing shown at /pricing and at checkout control if they differ from this summary.

Founder / early-adopter rate. From time to time we offer a limited founder or early-adopter discount to a capped number of early accounts. When available, the discount, remaining slots, and how long the rate lasts are shown at signup and on the pricing page. These promotional rates are limited, may change, and may end at any time.

Free trial. We may offer a time-limited free trial (currently 7 days, on Ascent only). A trial requires a valid payment method; Other plans have no trial and are charged from day one. Unless you cancel before the trial ends, your subscription begins automatically and your payment method is charged at the then-current rate. Trial terms shown at signup control.

Recurring billing, cancellation & refunds. Paid plans renew automatically until you cancel. Fees are billed through our third-party payment processor in the currency shown; taxes may apply. You authorize recurring charges to your payment method. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you keep access until then. Refunds. If XLEVATED is not right for you, email support@nobukaizen.com within 14 days of a charge and we will refund that charge in full — no reason required — provided nothing has been generated for you in the period it paid for. Stardust credits you have already spent are not refundable; unspent credits are. We also refund duplicate charges, any charge taken after you cancelled, and anything we charged for and did not deliver, at any time. Refunds go back to the original payment method, normally within 5–10 business days. The full terms are on our Refund Policy page, which controls if it differs from this summary. We may change prices for future periods with reasonable notice.

Downgrades and entry-plan features. A downgrade may reduce features immediately or at the end of the current period, at our discretion. Entry-plan features — including the first-party sponsorship line on Echo — may change or end at any time without liability.

The Service integrates third parties (for example, payments, optional sign-in, and the model and voice infrastructure that powers NobuAI features). Their terms and privacy policies govern their services; we are not responsible for their acts, omissions, or availability. The real identities of the providers we use are disclosed in our Privacy Policy; user-facing surfaces refer to intelligence only as NobuAI.

We may offer alpha, beta, or experimental features “as is.” They may be unstable, incomplete, or withdrawn at any time, and your use of them is at your sole risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR MEET YOUR EXPECTATIONS. WE DISCLAIM ALL LIABILITY ARISING FROM RELIANCE ON READINGS, AI OUTPUTS, COACHING LANGUAGE, OR ANY ACTION YOU TAKE OR FAIL TO TAKE BASED ON THE SERVICE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT OR EMERGENCY SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOBU KAIZEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, OR FOR PERSONAL INJURY OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID US. Some jurisdictions do not allow certain limitations; there, our liability is limited to the fullest extent permitted by law.

The foregoing limitations are a fundamental part of the bargain between you and us.

You will defend, indemnify, and hold harmless Nobu Kaizen and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Your Content; (b) your use or misuse of the Service; (c) your violation of these Terms or of any law; (d) your infringement of any third-party right; or (e) disputes between you and any third party relating to your use of the Service.

You may stop using the Service at any time and may delete your account where the product provides that control. We may suspend or terminate your access immediately if we believe you violated these Terms, created risk or legal exposure, or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive (ownership, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law) survive termination. Data export may be available for a limited time after termination as described in the product and the Privacy Policy.

We may also suspend or terminate access after prolonged inactivity on a lapsed or unpaid plan. We are not obligated to retain Your Content beyond the export period described above, except where the law requires it.

15.1 Informal resolution first. Before filing any claim, you agree to try to resolve the dispute informally by emailing support@nobukaizen.com with a description of the dispute. If it is not resolved within thirty (30) days, either party may proceed as set out below.

15.2 Binding individual arbitration. Except for (i) small-claims actions within jurisdictional limits and (ii) claims for injunctive or equitable relief regarding intellectual property or unauthorized access, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in Dallas County, Texas (or by video/phone where the rules allow). The arbitrator may award individual relief only.

15.3 Class-action waiver. YOU AND NOBU KAIZEN AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

15.4 Opt-out. You may opt out of arbitration within thirty (30) days of first accepting these Terms by emailing support@nobukaizen.com with the subject “Arbitration Opt-Out” and your account email.

15.5 Enforcement & severability. Judgment on an arbitration award may be entered in any court of competent jurisdiction. If you opt out, or if the arbitration agreement is found unenforceable, exclusive venue is as set out in Section 16.

Subject to Section 15, these Terms are governed by the laws of the State of Texas, USA, excluding its conflict-of-law rules, and exclusive venue for permitted court actions is the state or federal courts located in Dallas County, Texas. Nothing here deprives you of the protection of the mandatory consumer laws of your home jurisdiction where those apply.

You may not use the Service if you are located in a sanctioned jurisdiction or are a denied party under applicable export or sanctions laws, and you represent that you are not.

We may modify these Terms by posting an updated version and revising the “Last updated” date. Material changes may also be communicated in-product or by email. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and cancel as provided above.

These Terms, together with the Privacy Policy and any plan-specific terms we present, are the entire agreement between you and us regarding the Service and supersede prior agreements on that subject. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

Notices to you may be sent to your account email address or delivered through the Service. Headings are for convenience only and do not affect interpretation.

Everything else. All other audio — the intro sting, the fail-safe bed, and generated narration — is XLEVATED’s own work, except where a voice is credited above. Narration is produced by NobuAI.
